1. Program Overview
The TruckClub™ Referral Partner Network allows approved Partners to market, promote, and refer eligible TruckProtect™ protection plans (“TruckProtect™ Plans”) and related services to commercial vehicle owners, operators, businesses, fleets, and other potential customers. Approved Partners may receive referral tools, tracking resources, referral links, QR codes, marketing collateral, and commission opportunities through the TruckClub™ partner platform.
2. Partner Approval
All applications are subject to review and approval by TruckClub™. Submission of an application does not guarantee acceptance into the program. TruckClub™ reserves the right to approve, deny, suspend, restrict, or remove any Partner account at its sole discretion.
3. Qualified Referrals & Attribution
A “Qualified Referral” means a referral determined by TruckClub™ in its sole discretion to meet all applicable program, enrollment, payment, eligibility, fraud prevention, and account standing requirements.
Commissions are only earned on Qualified Referrals that successfully enroll in eligible TruckProtect™ Plans through approved referral methods.
TruckClub™ reserves sole discretion regarding referral qualification, attribution, eligibility, commission approval, tracking methods, referral windows, cookie duration, duplicate referrals, split attribution, and multi-partner attribution conflicts.
TruckClub™ does not guarantee uninterrupted availability of the Referral Partner Network, partner platform, tracking systems, reporting tools, or commission calculation systems.
4. Commission Structure
Referral commissions and Partner Referral Bonuses associated with multi-truck, fleet, discounted, enterprise, negotiated, promotional, strategic, or custom-priced accounts may differ from standard single-truck referral compensation structures due to reduced pricing, negotiated commercial terms, volume discounts, operational considerations, or adjusted account economics. Commission structures, percentages, durations, recurring terms, incentives, promotional offers, recurring commission eligibility, renewal periods, and term limits may vary by Partner, partnership type, campaign, or agreement.
TruckClub™ reserves the right to modify commission structures, eligibility requirements, promotional terms, payout terms, recurring commission policies, and commission methodologies at any time.
Referral commissions associated with fleet, multi-truck, discounted, promotional, negotiated, enterprise, strategic, or custom-priced TruckProtect™ Plans may be reduced, modified, adjusted, limited, or calculated differently from standard referral commissions due to discounted customer pricing, volume-based pricing structures, negotiated commercial terms, reduced program margins, or other business considerations.
Commission calculations for discounted or multi-truck accounts may be based on discounted pricing, adjusted pricing, net revenue, reduced margins, negotiated account terms, or other modified compensation methodologies as determined by TruckClub™ in its sole discretion.
TruckClub™ reserves the right to review and determine commission eligibility, payout structures, recurring commission terms, and compensation amounts for fleet, enterprise, custom-priced, negotiated, or strategically discounted accounts on a case-by-case basis.
TruckClub™ reserves the right to manually review, adjust, reduce, limit, exclude, offset, negotiate, or modify commissions associated with discounted, fleet, enterprise, strategic, high-volume, or custom-priced accounts.
5. Commission Payments
Commission payouts will only be issued once the Referral Partner has accumulated a minimum commission balance of $500.00 USD (“Payout Threshold”).
TruckClub™ may issue payouts through approved payment methods including, but not limited to, ACH, electronic payments, direct payments, or account credits applied toward active TruckProtect™ membership obligations upon request by the Referral Partner.
TruckClub™ may temporarily withhold commission payments while investigating suspected fraud, policy violations, disputes, suspicious referral activity, duplicate referrals, or chargebacks.
Commissions associated with canceled memberships, refunded transactions, fraudulent enrollments, payment failures, chargebacks, discounted accounts, negotiated pricing arrangements, duplicate referrals, disputes, reporting inaccuracies, or commission calculation corrections may be reversed, adjusted, withheld, deducted from future commission balances, offset, or corrected by TruckClub™.
TruckClub™ reserves the right to investigate referral activity, audit transactions, request supporting documentation regarding referral eligibility and commission activity, and correct calculation errors, reporting inaccuracies, technical issues, duplicate commissions, or mistaken payments.
6. Confidentiality
Referral Partners agree to maintain the confidentiality of all non-public information provided by TruckClub™, including commission structures, customer information, pricing, business operations, referral data, platform access, software, marketing materials, and partner communications.
Partners may not disclose, reproduce, distribute, or use confidential information except as necessary to participate in the Referral Partner Network.
Confidentiality obligations survive termination of this Agreement.
7. Marketing & Promotional Requirements
Partners may only use approved marketing materials, trademarks, logos, messaging, and promotional assets authorized by TruckClub™.
Partners may not make misleading statements, guarantees, warranties, or representations regarding TruckProtect™ Plans, pricing, claims outcomes, financial performance, commission earnings, or program benefits.
Referral Partners are responsible for complying with all applicable advertising, endorsement, disclosure, privacy, communication, anti-spam, and consumer protection laws, including applicable FTC disclosure requirements.
8. No Authority & Restricted Activities
Referral Partners are independent contractors and are not employees, agents, franchisees, legal representatives, or authorized representatives of TruckClub™.
Referral Partners are not authorized to make representations, guarantees, warranties, contractual commitments, pricing modifications, claims approvals, legal interpretations, or binding agreements on behalf of TruckClub™.
Partners may not present themselves as insurance agents, legal advisors, claims adjusters, financial advisors, or authorized representatives of TruckClub™.
Partners may not provide legal, tax, insurance, financing, underwriting, or claims advice regarding TruckProtect™ Plans.
Referral Partners are not entitled to employee compensation, healthcare, insurance, retirement plans, workers’ compensation, unemployment benefits, or other employment-related benefits.
9. Prohibited Conduct
Partners may not engage in fraudulent, deceptive, misleading, abusive, unlawful, or unethical practices.
Partners may not use spam, fake referrals, manipulated transactions, impersonation, misleading advertisements, incentivized fake signups, or unauthorized use of TruckClub™ branding.
Partners may not register or use domains, social media accounts, paid advertisements, or search engine keywords that infringe upon or imitate TruckClub™ or TruckProtect™ trademarks or branding.
10. Intellectual Property
All TruckClub™, TruckProtect™, trademarks, branding, software, marketing assets, referral systems, and related intellectual property remain the exclusive property of TruckClub™.
Participation in the Referral Partner Network does not create ownership rights, territorial rights, exclusivity rights, customer ownership rights, or proprietary interests in referred customers or accounts.
11. Non-Exclusive Relationship
Participation in the Referral Partner Network is non-exclusive. TruckClub™ may engage other affiliates, dealerships, fleets, agencies, marketers, software providers, service centers, or referral sources at any time, including within the same geographic area or industry segment.
12. Taxes & Compliance
Referral Partners are solely responsible for all taxes, reporting obligations, permits, licenses, regulatory compliance obligations, and governmental filings arising from participation in the Referral Partner Network.
13. Program Changes & Termination
TruckClub™ may modify, suspend, restrict, or terminate the Referral Partner Network, commission structures, eligibility requirements, referral tracking methods, payment terms, or any portion of the program at any time with or without notice.
Continued participation in the Referral Partner Network following any modification to these Terms & Conditions constitutes acceptance of the updated terms.
TruckClub™ may suspend or terminate any Partner account for inactivity, fraud, abuse, reputational concerns, policy violations, non-compliance, suspicious activity, or conduct deemed harmful to TruckClub™.
14. Limitation of Liability
TruckClub™ makes no representations or guarantees regarding referral volume, conversion rates, commission amounts, financial performance, program availability, customer retention, or uninterrupted platform access.
To the maximum extent permitted by law, TruckClub™’s total liability arising from or relating to this Agreement shall not exceed the total commissions paid to the Referral Partner during the twelve (12) months preceding the event giving rise to the claim.
TruckClub™ shall not be liable for indirect, incidental, consequential, punitive, exemplary, or lost profit damages arising from participation in the Referral Partner Network.
15. Force Majeure
TruckClub™ shall not be liable for delays, interruptions, failures, outages, or inability to perform resulting from causes beyond its reasonable control, including acts of God, cyberattacks, internet outages, payment processor failures, governmental actions, labor disputes, or system failures.
16. Indemnification
The Referral Partner agrees to defend, indemnify, and hold harmless TruckClub™, its owners, officers, employees, affiliates, contractors, successors, and partners from claims, liabilities, damages, losses, costs, expenses, or legal fees arising from participation in the Referral Partner Network or violations of this Agreement.
17. Electronic Communications & Acceptance
Partners agree that TruckClub™ may provide notices, disclosures, updates, program modifications, and legal communications electronically through email, the partner platform, SMS, or other digital communication methods.
Electronic acceptance of this Agreement through digital signup, account registration, checkbox acknowledgment, or electronic confirmation constitutes legally binding acceptance of these Terms & Conditions.
18. Privacy & Data Responsibilities
Partners are responsible for complying with all applicable privacy, communication, and data protection laws when collecting, storing, transmitting, processing, or sharing customer information.
19. Arbitration & Governing Law
This Agreement shall be governed by applicable laws of the District of Columbia.
Any dispute arising from or relating to this Agreement or the Referral Partner Network shall be resolved through binding arbitration.
Arbitration proceedings shall take place in the District of Columbia unless otherwise agreed by the parties.
All claims must be brought solely in an individual capacity and not as part of any class, collective, consolidated, or representative proceeding.
The parties waive the right to trial by jury.
Any claim arising from or relating to this Agreement must be brought within one (1) year after the cause of action arises, or such claim shall be permanently barred.
20. Entire Agreement, No Waiver & Severability
This Agreement constitutes the entire agreement between the parties regarding participation in the Referral Partner Network and supersedes all prior communications, discussions, or agreements.
Failure by TruckClub™ to enforce any provision of this Agreement shall not constitute a waiver of any rights or provisions.
If any provision of this Agreement is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
21. Assignment
TruckClub™ may assign or transfer this Agreement in connection with a merger, acquisition, restructuring, sale of assets, financing transaction, or transfer of business operations.
22. Survival
Sections relating to confidentiality, indemnification, intellectual property, payment disputes, limitations of liability, arbitration, governing law, and other provisions intended to survive termination shall remain in effect following termination of this Agreement.

24. Acceptance
By applying to or participating in the TruckClub™ Referral Partner Network, the Referral Partner acknowledges that they have read, understood, and agreed to these Terms & Conditions. TruckClub™ reserves the right to review, modify, adjust, approve, deny, cap, manually manage, reduce, limit, negotiate, offset, exclude, or otherwise alter commissions, recurring payouts, referral bonuses, discounted fleet accounts, enterprise pricing, negotiated accounts, sub-affiliate payouts, override commissions, and partner compensation structures at its sole discretion.
